Terms of Use

These Terms of Use ("Terms" or "Agreement") govern your access to and use of the data products, datasets, native applications, documentation, and related services (collectively, the "Data Products") provided by Dataplex Consulting & Data Products ("Dataplex," "we," "us," or "our").

By accessing, purchasing, subscribing to, or using any Data Product (including via cloud marketplaces such as Snowflake, Databricks, Google Cloud, SAP, AWS, or Datarade, or via direct delivery such as Snowflake Secure Shares or Amazon S3), you ("Customer," "you," or "your") agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use the Data Products.

1. Scope and Applicability

These Terms apply to all access to and use of Dataplex Data Products, whether:

  • Provisioned through a cloud marketplace listing or private offer,
  • Delivered via Snowflake Secure Shares, S3 buckets, or other delivery mechanisms,
  • Installed as a Snowflake Native App that runs in your own account, or
  • Accessed as part of a proof-of-concept, free trial, or paid subscription.

If you have a separate written agreement with Dataplex that expressly governs a particular Data Product or engagement (for example, a Data Contribution Agreement or Master Services Agreement), that agreement will control to the extent of any conflict with these Terms.

2. License to Use Data Products

2.1 Grant of License

Subject to your compliance with these Terms and payment of all applicable fees, Dataplex grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Data Products solely for your internal business purposes.

2.2 Restrictions

You may not, and you agree not to permit any third party to:

  • Sell, sublicense, rent, lease, or otherwise redistribute the Data Products in raw or substantially similar form;
  • Make the Data Products publicly accessible or incorporate them into a publicly available service or dataset;
  • Use the Data Products to build, train, or enhance a competing data product or database offering;
  • Remove or obscure copyright notices, attribution, or source references contained in the Data Products;
  • Use the Data Products in violation of applicable law, regulation, or government dataset terms of use;
  • Attempt to re-identify individuals, link data to protected health information (PHI), or circumvent de-identification safeguards;
  • Reverse engineer, decompile, or attempt to extract the source code, models, or methodology of any Native App;
  • Use the Data Products in a manner that infringes or misappropriates the rights of any third party.

2.3 Derived Outputs

You may create derivative analytical outputs from the Data Products (for example, charts, dashboards, metrics, models, and reports). You may share those outputs with internal stakeholders and, where applicable, with your own clients, provided that such outputs do not expose or reconstruct Dataplex's raw data files or make the underlying Data Products reasonably extractable.

2.4 Native Apps

Certain Data Products (for example, FacilityGuard and RosterGuard) are delivered as Snowflake Native Apps that execute within your Snowflake account. Your data processed by such apps remains in your environment and is not transmitted to Dataplex. The license and restrictions in this Section 2 apply equally to app-delivered data, reference tables, and app outputs.

3. Ownership and Public-Source Disclaimers

3.1 Dataplex Intellectual Property

Dataplex retains all right, title, and interest in and to:

  • The compilation, organization, and selection of the Data Products;
  • Transformations, enrichment, harmonization, quality checks, and indexing layers;
  • Documentation, metadata, schemas, and data models; and
  • All related software, applications, pipelines, and tools used to deliver the Data Products.

Except for the limited license granted in Section 2, these Terms do not grant you any rights in or to Dataplex's intellectual property.

3.2 Public-Source Government Data

Many Dataplex Data Products are derived from public datasets made available by United States government agencies and related entities, including but not limited to:

  • Centers for Medicare & Medicaid Services (CMS),
  • National Plan and Provider Enumeration System (NPPES),
  • Food and Drug Administration (FDA),
  • Centers for Disease Control and Prevention (CDC),
  • Health Resources and Services Administration (HRSA),
  • United States Census Bureau, and
  • Other federal and state open data programs.

Dataplex does not claim ownership over the underlying government-provided raw data. Our value lies in the acquisition, processing, enhancement, structuring, and delivery of such data. You acknowledge that government-provided data may contain errors, omissions, or delays for which Dataplex is not responsible.

3.3 No Affiliation or Endorsement by Government Agencies

Dataplex is an independent entity and is not endorsed, sponsored, approved, or certified by CMS, HHS, FDA, CDC, HRSA, the Census Bureau, or any other government agency. Any references to such agencies are for descriptive purposes only, to identify the public sources of certain data.

3.4 Compliance with Government Dataset Terms

You are responsible for ensuring that your use of Data Products derived from government sources complies with the applicable terms, conditions, and policies published by those agencies. To the extent those terms impose additional restrictions on redistribution or citation, you agree to comply with them in addition to these Terms.

4. Subscription, Fees, and Billing

4.1 Fees

Fees for Data Products are as described in your order form, marketplace listing, private offer, or other written agreement. Marketplace purchases may be billed through the applicable marketplace provider (such as Snowflake, Databricks, Google Cloud, SAP, or Datarade).

4.2 Term and Renewal

Unless otherwise stated, subscriptions are billed on a recurring basis (monthly or annually) and renew automatically at the end of each term at the then-current rates, unless you cancel in accordance with Section 4.3.

4.3 Cancellation

You may cancel your subscription in accordance with the applicable order, marketplace controls, or written agreement. Cancellation will take effect at the end of the then-current billing period. Fees already paid are non-refundable, except where otherwise required by law or explicitly agreed in writing.

4.4 Taxes

Fees are exclusive of taxes unless stated otherwise. You are responsible for all applicable taxes, duties, and government charges, excluding taxes based on Dataplex's net income.

5. Data Delivery and Availability

5.1 Delivery Methods

Dataplex may deliver Data Products through various mechanisms, including but not limited to:

  • Snowflake Secure Shares, Listings, or Native Apps,
  • Databricks Delta Sharing and marketplace integrations,
  • Google Cloud Analytics Hub and SAP Datasphere integrations,
  • Amazon S3 or equivalent object storage,
  • Other managed delivery channels agreed in writing.

You are responsible for configuring and maintaining your own data warehouse, lakehouse, or cloud environment to ingest and process the delivered data.

5.2 Data Currency and Publication Schedules

For feeds based on government publications, Dataplex's delivery cadence may depend on when the underlying agency publishes new files. Delays or changes in government publication schedules are outside Dataplex's control and do not constitute a service failure.

5.3 Trials and Evaluation Access

Trial or evaluation access may be limited in volume, history, or scope and is provided solely for evaluation purposes. You must not use trial access in production or for commitments to third parties without a paid subscription and explicit written approval from Dataplex.

6. Confidentiality

6.1 Definition

"Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or should reasonably be understood to be confidential given the nature of the information and the circumstances of disclosure.

6.2 Obligations

Each party will:

  • Use Confidential Information only for purposes of this Agreement,
  • Not disclose Confidential Information to third parties except as permitted here, and
  • Protect Confidential Information with reasonable care.

Confidential Information does not include public-source government data or information that is or becomes publicly available through no fault of the receiving party.

7. Privacy

Dataplex's handling of personal information is described in our Privacy Notice. By using the Data Products, you acknowledge that you have read and understood the Privacy Notice.

Public government datasets used in our Data Products are not considered personal data or protected health information under applicable laws (for example, HIPAA) and are treated accordingly.

8. Warranties and Disclaimers

8.1 "As Is" Data Products

THE DATA PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, DATAPLEX DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Dataplex does not warrant that the Data Products will be error-free, complete, current, or that they will meet your specific requirements. Public datasets may contain inaccuracies, late updates, or omissions originating from the source agencies.

8.2 No Professional Advice

The Data Products and any related documentation or communications do not constitute legal, financial, medical, or other professional advice. Compliance signals, flags, and alerts produced by our products are informational and require your own review. You are solely responsible for how you interpret and use the data.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL DATAPLEX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS OR REVENUE, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE DATA PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DATAPLEX'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE DATA PRODUCTS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO DATAPLEX FOR THE DATA PRODUCTS DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Compliance and Acceptable Use

You agree that you will:

  • Comply with all applicable laws and regulations when using the Data Products;
  • Not attempt to reverse engineer, re-identify, or link data in a way that creates PHI or other regulated data;
  • Not use the Data Products for unlawful discrimination, harassment, or harmful activities;
  • Not misrepresent Dataplex or the provenance of the Data Products.

11. Termination

Dataplex may suspend or terminate your access to the Data Products immediately upon notice if you violate these Terms, fail to pay applicable fees, or if required by a marketplace provider or by law.

Upon termination, your license to use the Data Products ceases, and you must stop using the Data Products, uninstall any Native Apps, and delete any locally stored copies of the raw data, except where retention is required by law or expressly permitted in a separate written agreement.

12. Changes to These Terms

We may update these Terms from time to time. The "Last Updated" date at the top of this page indicates when they were last revised. Your continued use of the Data Products after any update constitutes your acceptance of the revised Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws principles. Any disputes arising out of or relating to these Terms or the Data Products will be brought exclusively in the state or federal courts located in Travis County, Texas, and you consent to the personal jurisdiction of such courts.
